Agreement Term: Minimum of 18 months

This Agreement (“Agreement”) sets out the terms under which Instructors (“Instructor”) may publish, share, or sell their courses and materials through Nyxara Academy (“Platform”). By registering as an Instructor, you agree to the following terms:

1. Ownership & Responsibility

• Instructors affirm that all content (courses, materials, videos, text, or other resources) they upload to the Platform is original work owned by them or properly licensed for their use.
• Instructors are solely responsible and legally accountable for the accuracy, originality, and quality of their materials.
• Nyxara Academy will not be held liable for any disputes, infringements, or claims arising from Instructor content.

2. Instructor Obligations

• Be transparent with students and ensure all information provided is accurate and up to date.
• Upload all course materials, resources, and updates relevant to all course(s).
• Maintain professional conduct in all communications with students and the Nyxara Academy team.

3. Revenue & Commission

• Instructors will receive 85% of the net revenue from each course sold via the Platform.
• Nyxara Academy will retain 15% commission for each course sold.
• Instructors agree that payouts will be processed on a [monthly/quarterly] basis via [bank transfer – BACS].

4. Registration & Services

• Registration as an Instructor is free of charge.
• Nyxara Academy provides complimentary administrative support, which may include:
• Technical troubleshooting for uploads
• Basic student inquiries management
• Access to platform analytics for course performance
• Additional paid services (optional) may include:

○ Course listing and visibility on the Platform
○ Advanced marketing and promotion packages
○ Professional editing or design support for course content
○ Priority placement or featured listings on the Platform
○ Dedicated account management

5. Term & Termination

• This Agreement is binding for a minimum period of 18 months from the Effective Date.
• Either party may terminate the Agreement after the 18-month period with at least 60 days’ written notice.
• Nyxara Academy reserves the right to suspend or remove any Instructor and/or content that violates these Terms or harms the reputation of the Platform.

6. Limitation of Liability

• Nyxara Academy provides the Platform on an “as is” basis and makes no guarantees regarding sales, student engagement, or outcomes.
• Instructors acknowledge and accept that they are responsible for the success and impact of their course(s).

7. Governing Law

• This Agreement shall be governed by and construed under the laws of [Insert Country/Region].
